By accessing or using the Chatifyd platform ("Service"), operated by Webifyd Technology LLC("Company", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including businesses using our WhatsApp Business API integration services ("Customers") and their end-users who receive messages ("End-Users").
By using our Service, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your organization.

All template messages must be approved by Meta before use. You are responsible for ensuring template content complies with WhatsApp policies. We reserve the right to reject or remove templates that violate policies.
As a data controller for your End-Users' data, you are responsible for:
We act as a data processor for message data processed on behalf of Customers. Our data processing obligations are detailed in our Data Processing Agreement.
Certain data may be stored and processed in the United Arab Emirates in compliance with UAE data localization requirements. For details, see our Privacy Policy.
We offer various subscription plans with different features and limits. Plan details, pricing, and inclusions are available on our Pricing page.
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are quoted and payable in US Dollars (USD) unless otherwise specified.
WhatsApp conversation charges are billed according to Meta's pricing model. Additional charges may apply for:
All fees are exclusive of applicable taxes, including UAE VAT. You are responsible for paying all taxes associated with your subscription.
We reserve the right to modify pricing with 30 days' written notice. Price changes take effect at the start of your next billing cycle.

The Service, including its original content, features, functionality, software, and trademarks, are owned by Webifyd Technology LLC and are protected by UAE and international intellectual property laws.
You retain ownership of content you create or upload to the Service. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for providing the Service.
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.
We strive to maintain 99.9% uptime for our Service. Enterprise customers may have specific SLA terms in their service agreements.
We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may be performed without notice to address security or stability issues.
Support availability varies by subscription plan. Support hours operate in Gulf Standard Time (GST/UTC+4). Premium support with extended hours is available for Enterprise customers.

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, WEBIFYD TECHNOLOGY LLC SHALL NOT BE LIABLE FOR:
Our total liability for any claims under these Terms shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Webifyd Technology LLC and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
You may terminate your account at any time by cancelling your subscription and notifying us.
We may suspend or terminate your account immediately, without prior notice or liability, for:
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitation of liability) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Dubai Courts.
Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If negotiation fails, disputes may be resolved through arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and us regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemic, or infrastructure failures.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through a prominent notice on our platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new terms, you must stop using the Service.
